Purpose & Scope
This Master Subscription Agreement ("MSA") governs all use of the ProScouter platform by the Customer, including its Athletic Department, coaching staff, and enrolled student-athletes. Individual pricing, term length, and specific services are set forth in the applicable Athletic Department Success Agreement, which incorporates this MSA by reference.
Data Ownership & Privacy
Customer retains ownership of all athlete, roster, and performance data submitted to the platform. ProScouter acts as a data processor and will not sell athlete data to third parties. All data handling complies with FERPA, COPPA (for minors), and applicable state student-privacy laws.
Limitation of Liability
ProScouter's aggregate liability under this Agreement shall not exceed the total fees paid by Customer in the twelve (12) months preceding the claim. Neither party shall be liable for indirect, incidental, or consequential damages.
Term & Governing Law
This MSA remains in effect for the duration of any active Athletic Department Success Agreement between the parties and is governed by the laws of the state in which Customer is domiciled.
